Almitra Terms of Use and Privacy Policy

Please read these Terms of Use ("Terms") and Privacy Policy ("Policy") carefully before using Almitra ("Almitra" or "the AI assistant" or “the service”). These Terms govern your use of Almitra. By using Almitra, you agree to these Terms and acknowledge that you have read and understood the Privacy Policy. If you do not agree with any part of these Terms or the Privacy Policy, please do not use Almitra.

Definitions
  1. "Almitra" refers to the online platform for piloting high-quality AI assistance owned and operated by Higher Bar AI, PBC (“HBAI”), a public benefit corporation registered in the U.S. state of Delaware.
  2. "User" refers to any individual or entity accessing or using Almitra.
  3. "Content" refers to any text, data, information, or materials provided by Almitra or generated as part of using or accessing the AI assistant.
Access and Use
  1. To use Almitra, you must be at least 13 years old. If you are below 18 years old, you must obtain permission from your parent or legal guardian to use Almitra. 
  2. In case you use Almitra on another person or entity’s behalf, you must be authorized to accept the Terms on their behalf. 
  3. You must provide accurate and complete information when registering your account.
  4. You may not share your account information or credentials with anyone outside your organization.
  5. You acknowledge that only you are responsible for all activities that occur under your credentials, including any content you submit or transmit through Almitra.
  6. You acknowledge that Almitra may be modified, updated, or discontinued at any time without notice.
  7. You acknowledge that using Almitra is not equivalent to professional advice and does not constitute a professional-client relationship.
  8. You agree to use Almitra in compliance with all applicable laws, regulations, and these Terms.
  9. You agree not to use Almitra to:
    1. Process, analyze, or otherwise interact with personally identifiable information, including survey data, whether quantitative or qualitative.
    2. More generally, collect, store, or process personal information of other users without their consent.
    3. Engage in any unlawful, abusive, or fraudulent activity.
    4. Impersonate any person or entity or falsely represent your affiliation with any person or entity.
    5. Transmit any viruses, malware, or other malicious code.
    6. Interfere with or disrupt the operation or security of Almitra or its associated servers.
  10. You acknowledge that any third-party software, services, or other products you use in connection with Almitra are subject to their own terms, and we are not responsible for third-party products.
Intellectual Property
  1. Almitra and its underlying technology are protected by intellectual property rights owned by HBAI.
  2. While you may use the output of Almitra’s AI assistance in your work, you may not modify, reproduce, distribute, or create derivative works of the Almitra platform itself without the express written permission of the owner.
  3. Any information you provide or content that you submit to Almitra is owned by you. However, upon submitting the content, you grant its owners the necessary license to process, use, and display the submitted content as part of providing AI assistance services and for internal learning and quality-control purposes. 
  4. We would like your feedback, ideas, suggestions, comments, and proposals to make Almitra better. In case you choose to provide these inputs, you acknowledge that Almitra’s owners may use them unrestrictedly without any compensation to you.
Privacy Policy
  1. HBAI is committed to protecting your privacy and handling your personal information responsibly. Core principles:
    1. We don’t ask you for personal information unless we need it.
    2. We don’t use your personal information except to comply with the law, develop our products, operate our services, or protect our rights.
    3. We don’t store personal information on our servers unless required for the ongoing operation of one of our services.
  2. Gathering of personally-identifiable information:
    1. HBAI collects and uses personal information to manage your relationship with HBAI and better serve you by personalizing your experience and support.
    2. HBAI may collect your personal information as part of your access and use of its websites or web-based applications, during conversations or correspondence with HBAI representatives, when you purchase products or services, or complete an online registration or application form.
    3. HBAI may collect personal information from you in connection with:
      1. Product or service orders, activations, and registrations.
      2. Profile creation and user verification for online services.
      3. Integrating custom enterprise content into AI assistance.
      4. Information requests or complaints.
      5. Marketing, newsletter, or support subscriptions.
      6. Contest entries or survey participation.
      7. Job applications.
      8. Event registration.
      9. Visits or browsing on HBAI websites.
    4. The types of personal information HBAI may collect from you includes:
      1. Business contact information, such as name, address, telephone number, and email address. In some cases, your business contact data may be provided to HBAI by a designated entity within your business or enterprise (such as a member of your billing or IT departments).
      2. Other unique information such as product and support preferences, contact preferences, educational and employment background, and job interest data.
      3. Details of the products and services you have purchased from us or which you have inquired about, together with any additional information necessary to deliver those products and services and to respond to your inquiries.
      4. Additional information related to you that you provide to us directly through our websites or indirectly through use of our websites or online presence, through our representatives, or otherwise.
      5. Information you provide to us through support interactions, customer surveys, or visits by our representatives from time to time.
      6. Information from publicly or commercially available sources that it deems credible. Such information may include your name, address, email address, preferences, interests, and demographic/profile data.
  3. Website visitors:
    1. Like most website operators, HBAI collects non-personally-identifying information of the sort that web browsers and servers typically make available, such as the browser type, language preference, referring site, and the date and time of each visitor request. HBAI’s purpose in collecting non-personally identifying information is to better understand how HBAI’s visitors use its websites. From time to time, HBAI may release non-personally-identifying information in the aggregate, e.g., by publishing a report on trends in the usage of its websites.
    2. HBAI also collects potentially personally-identifying information like Internet Protocol (IP) addresses for logged-in users. HBAI only discloses logged-in user IP addresses under the same circumstances that it uses and discloses personally-identifying information as described below.
    3. Visitors to websites can always refuse to supply personally-identifying information, with the caveat that it may prevent them from engaging in certain website-related activities, including use of HBAI products.
  4. Aggregated statistics:
    1. HBAI may collect statistics about the behavior of visitors to its websites. HBAI may display this information publicly or provide it to others. However, HBAI does not disclose personally-identifying information other than as described below.
  5. Protection of certain personally-identifiable information:
    1. HBAI discloses potentially personally-identifying and personally-identifying information only to those of its employees, contractors, service providers and affiliated organizations that (i) need to know that information in order to process it on HBAI’s behalf or to provide services available at its websites, and (ii) that have agreed not to disclose it to others. Some of those employees, contractors, service providers, and affiliated organizations may be located outside of your home country; by using HBAI websites, you consent to the transfer of such information to them. HBAI will not rent or sell potentially personally-identifying and personally-identifying information to anyone. Other than to its employees, contractors, service providers, and affiliated organizations, as described above, HBAI discloses potentially personally-identifying and personally-identifying information only in response to a subpoena, court order, or other governmental or legal request, or when HBAI believes in good faith that disclosure is reasonably necessary to protect the property or rights of HBAI, third parties, or the public at large. HBAI takes all measures reasonably necessary to protect against the unauthorized access, use, alteration, or destruction of potentially personally-identifying and personally-identifying information.
  6. Keeping your personal information secure:
    1. To prevent unauthorized access or disclosure, to maintain data accuracy, and to ensure the appropriate use of the information, HBAI utilizes appropriate physical, technical, and administrative procedures to safeguard the information we collect and process. HBAI retains data only as required or permitted by international, national, and local laws and while it has a legitimate business purpose.
    2. When collecting or transferring sensitive information, we use a variety of additional security technologies and procedures to help protect your personal information from unauthorized access, use, or disclosure. The personal information you provide us is stored on computer systems located in controlled facilities that have limited access. When we transmit highly confidential information (such as a credit card number or password) over the Internet, we protect it through the use of encryption, such as the Secure Socket Layer (SSL) protocol.
  7. Cookies:
    1. A cookie is a string of information that a website stores on a visitor’s computer, and that the visitor’s browser provides to the website each time the visitor returns. HBAI uses cookies to help HBAI identify and track visitors, their usage of the websites, and their website access preferences. HBAI visitors who do not wish to have cookies placed on their computers should set their browsers to refuse cookies before using HBAI’s websites, with the drawback that certain features of the websites may not function properly without the aid of cookies.
  8. Business transfers:
    1. If HBAI, or substantially all of its assets, were acquired, or in the unlikely event that HBAI goes out of business or enters bankruptcy, user information would be one of the assets that is transferred or acquired by a third party. You acknowledge that such transfers may occur, and that any acquirer of HBAI may continue to use your personal information as set forth in this policy.
  9. Attribution and sharing of privacy policy:
    1. We are grateful to WordPress for sharing their privacy policy with us, and we likewise share this policy under a Creative Commons Sharealike license; this means that you’re more than welcome to copy it and repurpose it for your own use. Please just make sure to replace references to us with ones to you.

Intellectual Property Notice
  1. Almitra respects intellectual property rights and does not endorse, support, or promote any form of intellectual property infringement. As the user, you are responsible for ensuring that your use of Almitra complies with applicable copyright laws and other intellectual property regulations.
Limitation of Liability
  1. To the maximum extent permitted by applicable law, HBAI shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses.
  2. In no event shall HBAI’s liability exceed the amount paid, if any, by you for accessing or using Almitra.
Indemnification

You agree to indemnify and hold harmless HBAI and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising out of or in connection with your use of Almitra or any violation of these Terms.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the U.S. state of Delaware. Any disputes arising under or in connection with these Terms shall also be subject to the exclusive jurisdiction of the courts located in the U.S. state of Delaware.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Suspension or Termination

HBAI reserves the right to suspend or terminate a user's access to the service for violations of the Terms of Use or for any other reason deemed necessary by HBAI.

Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and HBAI regarding the use of the AI assistant and supersede any prior or contemporaneous agreements, communications, or understandings.

Changes to Terms of Use and Privacy Policy

HBAI reserves the right to update or modify these Terms and the Privacy Policy at any time. Significant changes or updates will be communicated to users through the AI assistant or by other reasonable means. Continued use of Almitra after such changes constitutes your acceptance of the modified Terms and Privacy Policy.
